These terms and conditions ("Terms") govern your participation in the social media giveaway ("Giveaway") organized by Birthday Series Umbrella, LLC ("Organizer"). By entering the Giveaway, you agree to be bound by these Terms and to be contacted by either email and/or Instagram DM.

1. NO PURCHASE NECESSARY TO ENTER OR WIN.

2. How to Enter: Beginning on August 12th, 2023 at 10:00 AM ET through August 20th, 2023 at 4:30 PM ET (the “Giveaway Period”) in order to enter to win the Giveaway, you must: (1) visit bdayseries.com/launch-giveaway and follow the on-screen entry instructions to complete the Giveaway submission form (the “Submission Form”); (2) tag a friend in the @birthdayseries Instagram Giveaway Post [Link]; (3) subscribe to the Birthday Series YouTube Channel by visiting https://www.youtube.com/channel/UCCMCbrcwVUnpagMl9bevz4A and clicking “Subscribe”. All Subscription Forms and subscriptions to the YouTube Channel must be received by the Organizer during the Giveaway Period to be considered valid. You may enter only once. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. 

3. Eligibility: Open to participants worldwide unless prohibited by local laws or regulations. Participants must be 18 years of age or older as of August 5th, 2023; provided that if the participant is located in a jurisdiction where the legal age exceeds 18 years of age, the participant must be at least the legal age as required by such jurisdiction.

4. Drawing: A random drawing will be conducted on or about 12:00 PM ET August 19th, 2023 by Organizer to select the winner from among all eligible entries received. The odds of winning depend on the number of entries received. The potential winner will be notified by email and must sign and return any required Affidavit of Eligibility and Release within 24 hours of the date notice is sent or such other date set by Organizer. Failure to respond within the applicable time period will result in forfeiture of the prize and the Organizer shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of the prize are the responsibility of the winner. By entering this Giveaway, the entrant accepts and agrees to these Terms and the decisions of the Organizer, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Organizer, Birthday Series Umbrella, LLC to use the winner's name, image, likeness, social media links/handles/usernames for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply. If the Organizer plans to film the Giveaway, the winner acknowledges and agrees to the recording and public sharing of their participation.

5. Prize Details: The total value of all prizes included in the Giveaway is $4,104. The prize consists of only those items specifically listed as part of the prize at bdayseries.com/launch-giveaway. No substitution or transfer of prize is permitted by the winner. Organizer reserves the right to substitute a prize of equal or greater value. If a potential winner is disqualified for any reason, the Organizer will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries.

6. Limitation of Liability: By entering the Giveaway, entrants waive all rights to, and hold the Organizer and its employees, contractors, agents, affiliates, subsidiaries, and agencies harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this Giveaway or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Organizer nor any of its employees, contractors, agents, affiliates, subsidiaries, and agencies will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Giveaway; by any human error which may occur in the processing of the entries in this Giveaway; or any typographical, technological, or other error in the publishing of the offer, administration of the Giveaway, or announcement of the prizes. If, in the Organizer’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Giveaway, or if technical difficulties (including viruses and bugs) compromise the integrity of the Giveaway, Organizer reserves the right to, in its sole discretion, cancel or modify this Giveaway in a manner deemed appropriate by the Organizer. In the event of termination, a winner will be selected from among all eligible entries received as of the date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form. 

7. Social Network Disclaimers: This Giveaway is in no way sponsored, endorsed, administered by, or associated with any social network platform used by Organizer. You acknowledge that any information you provide as part of the Giveaway is being disclosed to the Organizer and not to the social network platform.

8. Disqualifying Factors: The Organizer reserves the right to disqualify any participant found to be in violation of these Terms or engaged in fraudulent or unfair practices, including but not limited to:

• Providing false information during entry.

• Tampering with the entry process.

• Violating any applicable laws or regulations.

9. Non-Compliance Disclaimer: The Organizer shall not be held liable in the event of a participant's non-compliance with these Terms or any failure to adhere to the rules and regulations set forth herein.

10. Choice of Law and Forum: You agree that all matters arising out of or relating to this Giveaway and these Terms are governed by, and construed in accordance with, the laws of Delaware, without giving effect to any of its conflict of laws provisions thereof. You further agree that any legal suit, action, or proceeding arising out of or relating to this Giveaway and these Terms shall be brought exclusively in the applicable federal or state courts located in the Southern District of New York.

By participating in the Giveaway, you acknowledge that you have read, understood, and agree to comply with these Terms and Conditions.
